Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of northshieldsec.com and related online content operated by 1318912 B.C. Ltd., doing business as Northshield Security (“Northshield,” “we,” “us,” or “our”). Please read them carefully.

1. Acceptance of these Terms

By accessing or using this website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website. You must be legally capable of entering into a binding agreement to order products or services. If you use the website for a company or another person, you represent that you are authorized to act for them.

2. Website information

The website provides general information about security technology, alarm systems, cameras, smart-home products, Alarm.com-compatible products, product information, installation coordination, sales opportunities, and dealer relationships. Website content is provided for general informational purposes and is not a binding offer, guarantee, professional opinion, or promise that any particular product or service is available.

We try to keep information accurate and current but do not warrant that descriptions, images, compatibility information, pricing, promotions, coverage, or availability are complete, error-free, or current. Product appearance, specifications, applications, wireless coverage, third-party features, and service requirements may change.

3. Quotes, orders, and separate customer agreements

Important: These are website-use terms. A purchase, installation, monitoring service, financing arrangement, or other customer service is governed by the quote, order, service agreement, monitoring agreement, equipment agreement, credit authorization, or other written contract accepted by the customer (“Customer Agreement”).

A website inquiry, quote request, preliminary estimate, or displayed promotion does not create a Customer Agreement. An order is accepted only when confirmed by Northshield or the applicable service provider and when all required documents, approvals, deposits, credit conditions, and service-availability checks have been completed.

If these Terms conflict with a signed Customer Agreement, the Customer Agreement controls for the products and services covered by it. Nothing in these Terms limits a consumer right or remedy that cannot legally be waived.

4. Products, installation, monitoring, and service availability

Products and services may be supplied, installed, activated, monitored, financed, billed, warrantied, or supported by Northshield and/or authorized third-party providers. Availability depends on the property, location, licensing, network coverage, electrical and internet conditions, compatible equipment, building rules, credit approval, provider acceptance, and other technical or operational requirements.

Security systems reduce risk but cannot prevent or detect every loss, intrusion, fire, flood, medical event, equipment failure, network interruption, or other event. Alarm, camera, automation, and monitoring functions may depend on power, batteries, cellular or internet connectivity, wireless signal, third-party networks, customer settings, and proper maintenance. No security system is a substitute for insurance, emergency services, or reasonable safety precautions.

5. Customer responsibilities

When requesting or receiving products or services, you agree to:

  • provide accurate, current, and complete contact, property, billing, identity, and account information;
  • have authority to approve work at the property and obtain any required owner, landlord, strata, building, or other permission;
  • provide safe and reasonable access to the property and disclose known hazards or special site conditions;
  • protect passwords, codes, keys, devices, and account credentials, and promptly report suspected unauthorized access;
  • use, test, and maintain the system in accordance with instructions, including replacing batteries and maintaining required power, internet, or cellular service;
  • keep emergency contacts and permit or responder information current where applicable; and
  • comply with applicable laws, including privacy, surveillance, audio-recording, condominium, tenancy, and workplace requirements.

6. Identity verification and credit checks

Some products, subsidized equipment, financing, post-paid billing, or ongoing services may require identity verification and credit approval. After obtaining the consent required by law, Northshield or the applicable provider may obtain and use a consumer or credit report from TransUnion of Canada, Inc. or another consumer reporting agency to verify identity, assess creditworthiness and eligibility, prevent fraud, administer an account, and manage financial risk. Additional information is provided in our Privacy Policy and any credit-consent form presented to you.

7. Prices, taxes, billing, and payment

Unless stated otherwise in a Customer Agreement, prices are in Canadian dollars and applicable taxes, permits, shipping, installation, monitoring, activation, service-call, financing, and third-party fees may be additional. You are responsible for charges you authorize and for maintaining a valid payment method where recurring billing is agreed.

Deposits, recurring charges, late or returned-payment charges, equipment ownership, term commitments, price adjustments, and collection rights are governed by the applicable Customer Agreement and law. We may correct genuine clerical or pricing errors before accepting an order.

8. Cancellation, returns, refunds, and statutory rights

Cancellation, return, refund, equipment-removal, restocking, and early-termination terms are set out in the applicable Customer Agreement and are subject to mandatory consumer-protection laws. Customers may have cancellation or refund rights under provincial consumer-protection legislation, including rights applicable to direct sales, future-performance, distance-sales, subscription, or automatically renewing contracts.

Nothing in these Terms removes or restricts a right that cannot be waived under applicable law. To request cancellation, contact us and the service provider identified in your Customer Agreement using the notice method stated in that agreement. Do not rely only on stopping payment, as this may not by itself cancel a contract.

9. Third-party products, platforms, and links

The website and offered solutions may reference or integrate products, platforms, apps, monitoring services, payment services, consumer reporting agencies, manufacturers, installers, or websites operated by third parties. Third-party services are governed by their own contracts, warranties, terms, availability, and privacy practices. Product names and trademarks belong to their respective owners. A reference or link does not necessarily mean that Northshield controls or guarantees the third party.

10. Intellectual property and acceptable use

The website and its original design, text, graphics, logos, photographs, layout, and other content are owned by or licensed to Northshield and are protected by applicable intellectual-property laws. You may view and print reasonable portions for personal, non-commercial use. You may not copy, republish, sell, scrape, reverse engineer, interfere with, introduce malicious code into, or use the website or content unlawfully without written permission.

11. Website disclaimers

To the maximum extent permitted by law, the website is provided “as is” and “as available.” Northshield disclaims warranties concerning website availability, uninterrupted access, error-free operation, accuracy, fitness for a particular purpose, merchantability, non-infringement, or results obtained from website use. This disclaimer does not exclude any warranty or condition that cannot lawfully be excluded and does not replace warranties expressly provided in a Customer Agreement.

12. Limitation of liability

To the maximum extent permitted by law, Northshield will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, opportunity, goodwill, or business arising solely from use of or inability to use the website. These website limitations do not govern liability under a Customer Agreement except where that agreement expressly says so, and they do not limit liability that cannot lawfully be limited.

13. Changes, termination, governing law, and general terms

We may change or discontinue the website and may restrict access where reasonably necessary for security, maintenance, suspected misuse, or legal compliance. We may update these Terms by posting a revised version with a new effective date. Changes apply prospectively to website use and do not retroactively amend a signed Customer Agreement.

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to mandatory consumer rights, the courts of British Columbia have jurisdiction over disputes concerning these website Terms.

If a provision is found invalid or unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. Provisions concerning intellectual property, disclaimers, liability, and governing law survive termination where their nature requires.
